BY ENTERING THIS GIVEAWAY, YOU AGREE TO THESE OFFICIAL RULES, WHICH ARE A LEGALLY BINDING CONTRACT. PLEASE READ THEM CAREFULLY BEFORE ENTERING.
The Flourish by NOVA App Launch Giveaway ("Giveaway" or "Promotion") is sponsored by Nova Element Corp d/b/a Flourish by NOVA and The NOVA(Verse) ("Sponsor"), located at 2870 Peachtree Rd. #886,
Atlanta, GA 30305.
The Giveaway is administered through the ViralSweep platform (operated by AppHub
LLC) ("Administrator"). The Administrator is not responsible for and does not endorse the Giveaway or any prize. The Administrator's role is limited to providing the platform through which entries are collected and managed.
The Giveaway is open to legal residents of the United States who are eighteen (18) years of age or older at the time of entry.
The following persons are not eligible to enter or win:
Officers, directors, employees, agents, and representatives of Nova Element Corp and its
affiliates, subsidiaries, advertising agencies, promotion agencies, and fulfillment partners (including AppHub LLC / ViralSweep)
Immediate family members (spouse, parent, child, sibling, and their respective spouses)
of any of the above, regardless of where they reside
Persons living in the same household as any of the above, whether or not related
The Giveaway is subject to all applicable federal, state, and local laws and regulations. Void where prohibited by law.
The Giveaway begins on March 23, 2026, at
12:00 AM Eastern Time and ends on April
27, 2026, at 11:00 AM Eastern Time (the "Promotion Period"). Entries submitted before or after the Promotion Period will not be eligible. The Sponsor's computer is the official timekeeping device for this Giveaway.
4.1 Free Method of Entry (Primary Entry — No Purchase Necessary)
To receive one (1) free entry, complete
the following steps during the Promotion Period:
1. Download The NOVA(Verse) App
(available on the Apple App Store and Google Play Store) onto your compatible
mobile device.
2. Navigate to the Giveaway entry page
within the App (powered by ViralSweep).
3. Complete the entry form with your
full legal name and valid email address.
4. Submit the form.
Downloading the App and creating an account are free. There is no cost associated with entering this Giveaway. You will receive one (1) entry upon completion of these steps.
4.2 Alternative Method of Entry (AMOE) — No App Download Required
If you do not wish to download the App, you may enter by sending an email to info@thenovaelement.com with the subject line "Flourish Giveaway Entry" and including: (a) your full legal name; (b) your email address; (c) your mailing address (city, state, zip); and (d) your date of birth. One (1) entry per email submission. AMOE entries must be received during the Promotion Period.
AMOE entries carry the same weight as all other entries and provide an equal chance of winning. The Sponsor will manually add each valid AMOE entry into the same randomized drawing pool used for all other entries within two (2) business days of receipt. AMOE entrants are not eligible for bonus entries described in Section 4.3, as bonus entries require actions performed through the ViralSweep platform; however, each AMOE entrant's single entry carries the same individual odds as any other single entry in the drawing.
4.3 Bonus Entries (Optional — Not Required to Win)
After submitting your primary entry, you may optionally earn additional entries by completing one or more of the following actions through the ViralSweep entry page. These are not required to enter or win the Giveaway. A purchase will not increase your chances of winning.

Equal Dignity Notice: Bonus entries earned through purchase-based actions (e.g., making a purchase on flourishbynova.com)
do not provide any greater chance of winning per entry than entries earned through non-purchase actions. Every entry — whether free, earned through social actions, or associated with a purchase — carries equal weight in the random drawing.
Purchase Verification and Tracking Disclosure. If you choose to earn bonus
entries by making a purchase on flourishbynova.com, you will be redirected from The NOVA(Verse) App to the Flourish by NOVA website (https://flourishbynova.com), which is a separate online property operated by the Sponsor. Upon arriving at flourishbynova.com, cookies and tracking technologies — including Google Analytics, Meta Pixel, Hotjar, and Microsoft Clarity — will be placed on your device in accordance with the Flourish by NOVA Privacy Policy (https://flourishbynova.com/policies/privacy-policy). These cookies are used for site analytics, advertising measurement, and user experience analysis, and are placed on all visitors to the Flourish site — not solely for the purpose of verifying your purchase.
How purchase verification works: Your purchase is verified server-side through the Shopify API, not through cookies. When you complete a purchase on flourishbynova.com, Shopify transmits your order confirmation data (order ID, email address, purchase amount, and products purchased) to ViralSweep, which matches your purchase email to your giveaway entry email to award bonus entries. No additional cookies or tracking technologies are placed by
ViralSweep for purchase verification purposes.
Social follow verification: If you choose to earn bonus entries by following the Sponsor's social media accounts (Instagram, TikTok, etc.), verification is handled entirely within the ViralSweep widget. ViralSweep confirms that you clicked the follow action button. No cookies are placed on your device, and no data is collected from your social media accounts for this purpose. Your activity on third-party social media platforms is governed by those platforms' respective terms of service and privacy policies.
4.4 Entry Limits and Restrictions
Each person may submit only one (1) primary entry (via the App or via AMOE).
Bonus entries are limited to one (1) entry per
bonus action unless otherwise specified.
All entries must be submitted by the entrant. Entries submitted by any other individual, or by any entity, or generated by any automated means (bots, scripts, macros, or similar) will be disqualified.
Incomplete, illegible, or fraudulent entries will be void.
The authorized account holder of the email address used to enter will be deemed the
entrant.
One (1) Grand Prize: A one-year supply of Flourish by NOVA dietary supplement, consisting of twelve (12) units of Flourish shipped to the winner in a single shipment.
Approximate Retail
Value ("ARV"):
$840.00
The prize is non-transferable and may not be substituted, except by the Sponsor,
who reserves the right to substitute a prize of equal or greater value if the
advertised prize becomes unavailable for any reason.
No cash equivalent or alternative prize will be provided.
The prize will be shipped to the winner's verified U.S. mailing address via standard shipping at no cost to the winner.
The prize consists solely of the product described above. Any other costs, expenses, or taxes associated with the prize are the winner's sole responsibility.
The winner is solely responsible for all federal, state, and local taxes, if any, that apply to the prize. Because the prize ARV ($840.00) is below the 1099-MISC reporting threshold of $2,000 (effective for tax year 2026 under the One Big Beautiful Bill Act), the Sponsor does not anticipate issuing a Form 1099-MISC to the winner for this prize. However, the prize value remains taxable income, and the winner is responsible for reporting it as required by applicable tax law.
6. Winner Selection and Notification
On
or about April 14, 2026 (within two
(2) business days after the Promotion Period ends), one (1) potential winner will be selected by random drawing from
among all eligible entries received during the Promotion Period. The random
drawing will be conducted by the Sponsor or its designated agent using the
ViralSweep platform's randomized winner-selection tool. The Sponsor's decisions
are final and binding in all matters relating to this Giveaway.
The
potential winner will be notified by email at the address provided at the time
of entry within three (3) business days
of the drawing. The notification email will include instructions for claiming
the prize.
6.3 Verification and Acceptance
The
potential winner must respond to the notification email within seventy-two (72) hours of its
transmission. The potential winner may be required to:

Confirm
eligibility (including age and state of residence)

Provide
a valid U.S. mailing address for prize shipment
·
Execute
and return an Affidavit of Eligibility,
Liability Release, and (where permitted by law) Publicity Release within seven (7) days of receipt
If the potential winner: (a) fails to respond
within 72 hours; (b) fails to return required documents within 7 days; (c) is
found to be ineligible; (d) cannot be reached after reasonable efforts; or (e)
declines the prize — the prize will be forfeited and an alternate winner will
be selected by random drawing from the remaining eligible entries. A maximum of
two
(2) alternate drawings
will be conducted. If no eligible winner is confirmed after two alternate
drawings, the prize will remain unawarded.
The winner's first name, last initial, and
state of residence may be announced on the Sponsor's social media accounts,
within The NOVA(Verse) App, and/or on the Flourish by NOVA website. A winner
list may be obtained by sending a self-addressed stamped envelope to: Nova
Element Corp, Attn: Flourish Giveaway Winner List, 2870 Peachtree Rd. #886,
Atlanta, GA 30305. Requests must be received within ninety (90) days after the end of the Promotion
Period.
7. Publicity and Use of Information
Except
where prohibited by law, acceptance of the prize constitutes the winner's
consent for the Sponsor to use the winner's name, likeness, photograph, voice,
biographical information, statements, city and state of residence, and prize
information for advertising, publicity, and promotional purposes in any media
now known or hereafter developed, worldwide, without additional compensation,
notice, review, or consent.
Personal
information collected in connection with this Giveaway will be used by the
Sponsor in accordance with the Flourish
by NOVA Privacy Policy (available at flourishbynova.com/policies/privacy-policy) and the NOVA(Verse) App Privacy Policy (available within the App). By
entering, you consent to the collection, use, and disclosure of your personal
information as described in those policies.
The
Sponsor will collect the following information from entrants: name, email
address, and information about bonus entry actions completed. The Sponsor may
also collect mailing address and date of birth from the winner for prize
fulfillment and eligibility verification. This information may be shared with
the Administrator (ViralSweep / AppHub LLC) for Giveaway administration
purposes only.
The
Sponsor will not sell entrants' personal information to third parties. For
California residents, additional rights are described in the Privacy Policies
referenced above.
If
you earn bonus entries by making a purchase on flourishbynova.com or by interacting with the
Sponsor's social media accounts, your activity on those platforms is governed
by the respective platform's terms of service and privacy policy (e.g., flourishbynova.com Privacy Policy, Instagram Terms of
Use, TikTok Terms of Service). The Sponsor receives only the minimum data
necessary to verify the bonus action was completed (e.g., order confirmation
from Shopify, confirmation of link click from ViralSweep) and does not receive
your browsing history, social media credentials, or social media profile data
through the bonus entry process.
Cross-Platform
Data Collection Notice.
By choosing to earn bonus entries through a purchase on flourishbynova.com, you
acknowledge that your visit to the Flourish by NOVA website is subject to that
site's Privacy Policy (https://flourishbynova.com/policies/privacy-policy),
including its use of cookies and tracking technologies as described in Section
10 of that policy. The Flourish by NOVA website does not display a cookie
consent banner because it operates exclusively within the United States and is
not subject to regulations requiring opt-in cookie consent. You may opt out of
tracking used for targeted advertising by clicking the "Do Not Sell or
Share My Personal Information" link in the Flourish by NOVA website
footer, enabling Global Privacy Control (GPC) in your browser, or adjusting
your browser's cookie settings. The Sponsor receives only the minimum data
necessary to verify your bonus entry action — specifically, order confirmation
data from Shopify (for purchases) and click confirmation from ViralSweep (for
social follows). The Sponsor does not receive your browsing history, social
media credentials, or social media profile data through the bonus entry
process.
9. General Conditions and Limitations
of Liability
9.1 Right to Cancel, Modify, or
Suspend
The
Sponsor reserves the right, in its sole discretion, to cancel, terminate,
modify, or suspend the Giveaway (in whole or in part) if, in the Sponsor's
opinion, the Giveaway cannot be conducted as planned due to fraud, technical
failures, computer viruses, unauthorized human intervention, or any other
factor beyond the Sponsor's reasonable control that corrupts or impairs the
administration, security, fairness, or proper conduct of the Giveaway. In such
event, the Sponsor may select a winner from all eligible entries received prior
to the cancellation, modification, or suspension.
9.2 Release of
Liability, Waiver, and Assumption of Risk
BY
ENTERING THIS GIVEAWAY, EACH ENTRANT AGREES TO RELEASE, DISCHARGE, AND HOLD
HARMLESS Nova Element Corp d/b/a Flourish
by NOVA and The NOVA(Verse), AppHub LLC (ViralSweep), and each of their
respective officers, directors, employees, agents, affiliates, parent
companies, subsidiaries, successors, and assigns (collectively, the "Released Parties") FROM AND AGAINST ANY AND ALL CLAIMS,
DEMANDS, ACTIONS, CAUSES OF ACTION, SUITS, DAMAGES, LOSSES, COSTS, AND EXPENSES
(INCLUDING REASONABLE ATTORNEYS' FEES) of every kind and nature, whether
known or unknown, suspected or unsuspected, arising out of or relating to:
(a)
Entrant's
participation in the Giveaway or any Giveaway-related activity, including
downloading The NOVA(Verse) App;
(b) The acceptance, receipt, possession, use, misuse, or inability to use the
prize, in whole or in part, including
but not limited to any allergic reaction, adverse health effect, illness,
bodily injury, disability, or death related to the consumption, use, or
misuse of the Flourish by NOVA dietary supplement;
(c) Any interaction with other entrants, users, or third parties in connection
with the Giveaway;
(d) Any errors, omissions, interruptions, or inaccuracies in Giveaway-related
materials, whether in advertising, these Official Rules, or any correspondence;
(e) Any technical malfunctions, failures, errors, or difficulties of any kind,
including but not limited to malfunctions of the ViralSweep platform, The
NOVA(Verse) App, any website, telephone network, computer system, or mobile
device;
(f) Unauthorized human intervention in the Giveaway;
(g) Any claim based on publicity rights, defamation, invasion of privacy, or
any intellectual property right;
(h) The Released Parties' use of entrant's name, likeness, biographical data,
or entry materials as permitted by these Official Rules; and
(i) The placement of cookies and
tracking technologies (including but not limited to Google Analytics, Meta
Pixel, Hotjar, and Microsoft Clarity) on entrant's device when visiting
flourishbynova.com to earn bonus entries, as described in Section 4.3 of these
Official Rules. Entrant acknowledges that such cookies are standard website
technologies, that their use is disclosed in the Flourish by NOVA Privacy
Policy, and that entrant's sole remedy for objecting to such tracking is to
exercise the opt-out mechanisms described in Section 8 of these Official Rules
or to decline the purchase-based bonus entry method; and
(i) Any acts of third parties, including but not limited to hacking, tampering,
fraud, or unauthorized use of entrant information.
Each
entrant further acknowledges and agrees that the Released Parties have neither
made nor are responsible for any warranty, representation, or guarantee,
express or implied, in fact or in law, with respect to the prize — including
but not limited to its quality, fitness for a particular purpose, mechanical
condition, or safety — other than the express warranty, if any, provided by the
product manufacturer.
California
Residents — Waiver of Civil Code § 1542: If you are a resident of California, you hereby waive
California Civil Code Section 1542, which provides: "A general release does not extend to claims that the creditor or
releasing party does not know or suspect to exist in his or her favor at the
time of executing the release and that, if known by him or her, would have
materially affected his or her settlement with the debtor or released
party." You understand and acknowledge that the significance and consequence
of this waiver of California Civil Code Section 1542 is that even if you should
suffer damages arising out of or related to the Giveaway, you will not be able
to make any claim for those damages against the Released Parties. Furthermore,
you acknowledge that you intend these consequences even as to claims for
damages that may exist as of the date of this release but which you do not know
exist, and which, if known, would materially affect your decision to
participate in this Giveaway.
9.3
Indemnification
Each entrant agrees to indemnify, defend, and hold harmless
the Released Parties from and against any and all third-party claims, demands,
actions, damages, losses, costs, and expenses (including reasonable attorneys'
fees and court costs) arising from or relating to: (a) entrant's participation
in the Giveaway; (b) entrant's breach of any representation, warranty, or
obligation under these Official Rules; (c) entrant's User Content or any
materials submitted in connection with the Giveaway; and (d) entrant's
violation of any applicable law, regulation, or third-party right in connection
with the Giveaway.
9.4
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY
APPLICABLE LAW:
(A) ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION
ARISING OUT OF OR CONNECTED WITH THE GIVEAWAY, THE PRIZE, OR THESE OFFICIAL
RULES SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS
ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING;
(B) ANY AND ALL CLAIMS, JUDGMENTS, AND AWARDS SHALL BE
LIMITED TO ACTUAL, DOCUMENTED,
THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY), NOT TO EXCEED TEN DOLLARS
($10.00);
(C) UNDER NO CIRCUMSTANCES SHALL ANY ENTRANT BE PERMITTED
TO OBTAIN ANY AWARD FOR, AND EACH ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES
ALL RIGHTS TO SEEK: PUNITIVE DAMAGES, EXEMPLARY DAMAGES, INCIDENTAL DAMAGES,
INDIRECT DAMAGES, SPECIAL DAMAGES, CONSEQUENTIAL DAMAGES, LOST PROFITS, AND ANY
OTHER DAMAGES OTHER THAN ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED TEN
DOLLARS ($10.00);
(D) EACH ENTRANT HEREBY WAIVES ALL RIGHTS TO HAVE DAMAGES
MULTIPLIED OR OTHERWISE INCREASED;
(E) NO ATTORNEYS' FEES SHALL BE AWARDED OR RECOVERABLE BY
ANY ENTRANT IN CONNECTION WITH ANY DISPUTE ARISING OUT OF OR RELATING TO THIS
GIVEAWAY;
(F) IN NO EVENT SHALL THE RELEASED PARTIES' TOTAL
AGGREGATE LIABILITY TO ANY ENTRANT EXCEED TEN DOLLARS ($10.00).
SOME JURISDICTIONS DO NOT ALLOW THE
LIMITATIONS OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES, SO THE ABOVE MAY NOT
FULLY APPLY TO YOU. IN SUCH JURISDICTIONS, THE RELEASED PARTIES' LIABILITY
SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
9.5 Dispute Resolution — Binding Individual Arbitration
PLEASE
READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR
RIGHT TO FILE A LAWSUIT IN COURT AND YOUR RIGHT TO PARTICIPATE IN A CLASS
ACTION.
(a)
Agreement to Arbitrate. By entering this Giveaway, each
entrant agrees that any dispute, claim, or controversy arising out of or
relating to the Giveaway, these Official Rules, the prize, or any
Giveaway-related activity ("Dispute")
shall be resolved exclusively through final
and binding individual arbitration administered by the American Arbitration Association ("AAA") under its
Consumer Arbitration Rules then in effect, and not by any court or jury.
(b)
Consistency with App Terms. This arbitration provision is
intended to be consistent with Section 15 of The NOVA(Verse) App Terms of
Service. To the extent there is any conflict between these Official Rules and
the App Terms of Service regarding dispute resolution for Giveaway-related
claims, these Official Rules shall
control.
(c)
Location and Format. The arbitration shall take place
in Atlanta, Georgia, or, at the entrant's election, may be conducted by
telephone, video conference, or based on written submissions.
(d)
Class Action Waiver. YOU AND THE SPONSOR EACH WAIVE THE
RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, COLLECTIVE ACTION,
PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING. THE
ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT
PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.
(e)
Jury Trial Waiver. YOU AND THE SPONSOR EACH WAIVE THE
RIGHT TO A TRIAL BY JURY.
(f)
Arbitration Fees. If you initiate arbitration, you
will be responsible for the AAA's consumer filing fee (currently $225 for
claims under $75,000). The Sponsor will pay all remaining AAA administrative
fees and arbitrator compensation.
(g)
Small Claims Exception. Notwithstanding the foregoing,
either party may bring an individual claim in small claims court in Fulton
County, Georgia (or the county in which you reside), provided the claim falls
within the court's jurisdictional limits and remains on an individual,
non-class basis.
(h)
Severability of Arbitration Provisions.
If the class action waiver in subsection (d) is found to be unenforceable as to
a particular claim, then the agreement to arbitrate shall not apply to that
claim, and that claim shall be brought exclusively in the state or federal
courts located in Fulton County, Georgia. All other claims shall remain subject
to arbitration.
(i)
Governing Law. All issues and questions
concerning the construction, validity, interpretation, and enforceability of
these Official Rules shall be governed by the laws of the State of Georgia,
without giving effect to any choice-of-law or conflict-of-law rules or provisions.
(j)
Limitations Period. Any Dispute must be filed within one (1) year after the date the cause
of action arises. Any Dispute filed after this one-year period is permanently
barred.
9.6 Supplement Disclaimer
THE
PRIZE CONSISTS OF A DIETARY SUPPLEMENT. THE FOOD AND DRUG ADMINISTRATION HAS
NOT EVALUATED ANY STATEMENTS REGARDING THIS PRODUCT. THIS PRODUCT IS NOT
INTENDED TO DIAGNOSE, TREAT, CURE, OR PREVENT ANY DISEASE.
The winner should consult with a healthcare professional before beginning any
supplement regimen. The Sponsor is not responsible for any adverse reaction or
health effect resulting from the winner's use of the prize product.
9.7 Disqualification
The
Sponsor reserves the right to disqualify any entrant who: (a) tampers with the
entry process or the operation of the Giveaway; (b) violates these Official
Rules; (c) acts in an unsportsmanlike or disruptive manner; or (d) attempts to
undermine the legitimate operation of the Giveaway, including by cheating,
hacking, deception, or any other unfair practice. The Sponsor reserves the
right to seek damages from any person who attempts to undermine the operation
of this Giveaway to the fullest extent permitted by law.
10. Social Media and Platform
Disclaimers
10.1 Meta (Facebook and Instagram)
This
Giveaway is in no way sponsored, endorsed, administered by, or associated with
Meta Platforms, Inc., Facebook, or Instagram. By entering, you acknowledge that
Meta is not a sponsor and agree to a complete release of Meta from any and all
liability related to this Giveaway.
This
Giveaway is in no way sponsored, endorsed, administered by, or associated with
TikTok or ByteDance Ltd. By entering, you acknowledge that TikTok is not a
sponsor and agree to a complete release of TikTok from any and all liability
related to this Giveaway.
This
Giveaway is in no way sponsored, endorsed, administered by, or associated with
Apple Inc. or Google LLC. By entering, you agree to a complete release of Apple
and Google from any and all liability related to this Giveaway.
